Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Member," "you," or "your") and 4everacy, Inc., a Delaware C-Corporation ("4everacy," "we," "us," or "our"), governing your use of the 4everacy website at 4everacy.com and your participation in the Founders 5000™ founding membership program (the "Service").

By accessing our website, purchasing a founding membership, or otherwise using our Service, you agree to be bound by these Terms. If you do not agree, do not use our Service or purchase a membership.

2. The Founders 5000™ Program

The Founders 5000™ is a limited founding membership program for the Digital Life Operating System (DLOS) built by 4everacy, Inc. The program is limited to a maximum of 5,000 founding members worldwide, on a first-come, first-served basis.

What Is a Founding Membership?

A founding membership grants you permanent, lifetime access to the 4everacy Digital Life Operating System at the pricing tier you select at the time of purchase. Your founding membership is personal and non-transferable unless explicitly authorized in writing by 4everacy.

Founding members receive an FM (Founding Member) Serial Number that permanently identifies them as an original founding member of the 4everacy platform. This serial number is issued immediately upon payment confirmation.

Founding Membership Tiers

Four founding membership tiers are available, each with a one-time payment that grants lifetime access at that tier level:

All prices are in United States Dollars (USD). Each tier is a single, one-time payment — there are no recurring charges, subscription fees, or renewal obligations of any kind.

What Founding Members Receive

• FM Serial Number — a unique permanent identifier issued immediately upon payment confirming your position in the Founders 5000™
• Founding Badge — a digital badge tied to your account, permanently distinguishing you as an original founding member
• Lifetime Access Lock-In — your founding tier price is locked forever; future subscribers will pay higher rates
• FSU™ Multiplier — a Founding Status Unit multiplier applied to your account that amplifies your platform benefits relative to standard future subscribers, at the rate corresponding to your tier (1.0×, 2.0×, 4.0×, or 6.0×)
• Beta Access — early access to the platform beginning May 9, 2026, before general public availability
• Tier-specific platform features — access to features corresponding to your founding tier as detailed on the website at the time of purchase

3. Payment Terms

One-Time Payment

All founding membership purchases are single, one-time payments. There are no recurring charges, subscription fees, automatic renewals, or hidden costs. The price you pay at checkout is the complete and total amount you will ever pay for your founding membership.

Payment Processing

Payments are processed securely through Stripe, Inc., a PCI DSS Level 1 certified payment processor. 4everacy does not store your full payment card number or CVV code on its servers. By completing a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

Currency and Taxes

All transactions are processed in United States Dollars (USD). You are responsible for any applicable taxes, duties, or bank fees associated with your purchase. 4everacy will collect applicable sales tax where legally required.

No Refund Policy

If you believe you have been charged in error, or if there is an unauthorized charge on your payment method, please contact us immediately at hirejeffreywilliams@gmail.com and we will investigate in good faith.

Chargebacks

Initiating a chargeback with your bank or payment card issuer without first contacting 4everacy to resolve the issue in good faith constitutes a breach of these Terms. 4everacy reserves the right to dispute chargebacks and to suspend or terminate membership benefits in the event of a chargeback.

4. Delivery Timeline and Beta Access

Upon successful payment, the following is delivered immediately or as scheduled:

• Immediately upon payment: FM Serial Number issued, founding badge assigned, and confirmation email sent to the address provided at checkout
• May 9, 2026: Beta access to the 4everacy Digital Life Operating System begins for all founding members
• General availability: Full platform features will roll out progressively following the May 9, 2026 beta launch

The May 9, 2026 target date represents our current good-faith estimate for beta access. While we are committed to this timeline, it is subject to change due to factors outside our control. In the event of a delay, founding members will be notified via the email address on file. A delay in beta access does not constitute grounds for a refund.

5. Acceptable Use Policy

By accessing and using the 4everacy platform, you agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
• Attempt to gain unauthorized access to any portion of the platform, other user accounts, or computer systems or networks connected to the platform
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any portion of the platform
• Transmit any malicious code, malware, viruses, or any code designed to interrupt, destroy, or limit the functionality of computer software or systems
• Harvest, collect, or compile information about other users without their express consent
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the platform to transmit unsolicited commercial communications (spam)
• Engage in any conduct that restricts or inhibits any other person from using or enjoying the platform
• Use automated bots, scrapers, or similar tools to access the platform without our prior written consent
• Attempt to resell, sublicense, or commercially exploit your founding membership without prior written authorization from 4everacy
• Upload, store, or transmit content that is defamatory, obscene, unlawful, threatening, harassing, or otherwise objectionable

4everacy reserves the right to investigate and take appropriate legal action against anyone who, in its sole discretion, violates this Acceptable Use Policy, including terminating the offending member's account and reporting such activity to law enforcement authorities.

6. Intellectual Property

All intellectual property rights in and to the 4everacy platform, website, and associated materials are owned by or licensed to 4everacy, Inc.

Trademarks

The following are trademarks of 4everacy, Inc. and may not be used without prior written authorization:

• Founders 5000™
• FSU™ (Founding Status Unit)
• NovaSelf™, KinSphere™, BizNova™, CrewBase™, SignalVerse™, ChronoVault™, TruthMails™

Unauthorized use of any of the above marks in connection with any product, service, or business is strictly prohibited and may constitute trademark infringement under applicable law.

Platform Content

The 4everacy website and platform contain content that is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any portion of the platform content without our express written consent.

Your Content

You retain ownership of any content you create or upload within the 4everacy platform. By using the platform, you grant 4everacy a limited, non-exclusive, royalty-free license to store, process, and display your content solely as necessary to provide the Service to you.

7. Privacy

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the practices described in our Privacy Policy.

8. Disclaimers and Warranties

4everacy does not warrant that: (a) the platform will be available at all times or free of errors; (b) defects will be corrected; (c) the platform or servers are free of viruses or other harmful components; or (d) the platform will meet your specific requirements or expectations.

Some jurisdictions do not allow exclusion of implied warranties. In such jurisdictions, the above exclusions may not apply to you.

9. Limitation of Liability

In no event shall 4everacy's total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the amount you paid to 4everacy for your founding membership in the twelve (12) months immediately preceding the event giving rise to the claim.

The limitations in this section apply to the maximum extent permitted by applicable law and shall apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

10. Indemnification

You agree to defend, indemnify, and hold harmless 4everacy, Inc. and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Service; (c) your violation of any third-party right, including intellectual property rights; or (d) any content you submit, post, or transmit through the Service.

11. Account Termination

4everacy reserves the right to suspend or terminate your founding membership, at its sole discretion, with or without notice, if you: (a) materially breach these Terms; (b) engage in conduct that 4everacy reasonably determines to be harmful to other users, the platform, or 4everacy's business interests; or (c) initiate a fraudulent chargeback.

If your account is terminated for cause, you are not entitled to a refund. If your account is terminated without cause, 4everacy will provide a pro-rated refund at its sole discretion.

You may cancel your account at any time by contacting us at hirejeffreywilliams@gmail.com. Cancellation does not entitle you to a refund per the no-refund policy in Section 3.

12. Modifications to the Service

4everacy reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, including pricing, features, and availability for non-founding-members. However, 4everacy commits to maintaining the core founding membership benefits (lifetime access lock-in, FM Serial Number, founding badge, and FSU™ multiplier) for all current founding members in good standing.

We will provide reasonable advance notice of any material changes to the Service that affect founding member benefits.

13. Changes to These Terms

We reserve the right to update these Terms of Service at any time. When we make changes, we will update the "Last updated" date at the top of this page. If we make material changes, we will notify founding members via email. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

If you do not agree to updated Terms, your sole remedy is to cease using the Service. The no-refund policy in Section 3 continues to apply.

14. Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at hirejeffreywilliams@gmail.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware. You hereby consent to personal jurisdiction and venue in such courts and waive any objection to the exercise of jurisdiction or venue.

Waiver of Class Action

You agree that any dispute shall be resolved on an individual basis only, and not as part of a class action, class arbitration, or consolidated proceeding.

15. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 4everacy with respect to the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your founding membership or any rights under these Terms without our prior written consent. 4everacy may assign these Terms, in whole or in part, without restriction.

Force Majeure

4everacy shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, internet service interruptions, or third-party service failures.
